Warren Lazarow

Warren Lazarow is the Managing Partner of O’Melveny & Myers LLP's Silicon Valley office, a member of the Mergers & Acquisitions Practice, and a Member of the Firm’s Policy Committee and Joint Leadership Team.  Warren has broad experience in the general corporate representation of emerging growth corporations, public companies, venture capital firms, private equity funds and investment banks.  He represents both public and private clients in public and private debt, convertible debt and equity, and equity offerings, PIPES offerings, general corporate and securities transactions and corporate governance counseling, including under Sarbanes-Oxley, Nasdaq Global Market, NYSE and ISS rules and regulations, 1934 Act reporting and compliance, public and private mergers and acquisitions, corporate spinouts and spinins, and buyouts. 

Warren serves as general counsel to many clients and their management and boards of directors, helping to shape and execute their business, acquisitions and liquidity strategies, and advising them on day-to-day legal, corporate, regulatory and other strategic issues.

Warren’s career experience includes:
  • Approximately 100 merger and acquisition transactions, ranging in transaction size from $1 million to more than $5 billion.  Warren has handled dozens of public to private, public to public and private to private company mergers and acquisitions, asset dispositions and buyouts in the areas of information technology, e-commerce, consumer Internet, electronic design automation, life sciences, semiconductor device and capital equipment, enterprise software, networking and telecommunication systems and services.
  • Approximately 100 public offerings raising over $2.6 billion in equity, debt, and convertible securities from the public markets for companies and underwriters in the areas of information technology, e-commerce, consumer internet, electronic design automation, semiconductor device and capital equipment, enterprise software, networking and telecommunication systems and services.
  • Approximately 500 private financings for companies, venture capitalists, private equity funds, and investment banks.

Warren was named for the fourth time to Forbes Magazine's "Midas List" of the Top 100 Technology Dealmakers in the World in 2008.

Warren was also selected by California Law Business in 1996 as one of the “State of California’s Top 25 Lawyers Under the Age of 45,” and more recently several times by San Jose Magazine as one of the “Top Lawyers in the Silicon Valley.”  Warren was also named a Northern California “Super Lawyer” for 2004, 2005, 2006, and 2007 in a survey conducted by Law & Politics Media Inc., and published in San Francisco magazine and the Northern California Edition of Super Lawyers.  Warren was also recommended in 2007 and 2008 by Legal 500 for “Venture Capital and Emerging Companies” and in 2007 for “Private Equity Buyouts: $10 Billion and Above.”
