Harvey Eisenberg is a partner in O’Melveny’s New York office. He is the Co-Chair of the Transactions Department, a member of the Firm’s Senior Management Committee and Co-Chair of its Strategy Committee, and a member of the Investment Funds and Mergers & Acquisitions Practices. Since he began his career in 1985, Harvey’s practice has been focused on representing alternative asset managers, particularly private equity firms and their portfolio companies. He has been recognized by International Who’s Who as one of the leading lawyers in his field.

Illustrative Professional Experience

Private Equity Investments: Leveraged buy-outs, going private transactions, distressed investments, growth investments, PIPES, mezzanine capital, and coinvestments. Representative clients include CCMP Capital, Apollo, Irving Place Capital, Goldman Sachs PIA, JPMorgan Partners and Colony Capital. Transactions range in size from the middle market to over $10B.

Strategic Transactions: Public offerings of sponsor firms, joint ventures, strategic acquisitions to allow clients to diversify asset classes, and corporate spinouts. Representative transactions include the IPO of Apollo Global Management and its related restructuring and sale of interests to strategic investors, over 30 start-ups of alternatives asset firms seeded by JPMorgan Partners, the formation, build-up and sale of a CLO business by JPMorgan, the spinout of CCMP Capital from JPMorgan Partners, and the spinout of the former private equity arm of Bear Stearns from JP Morgan Chase.

Fund Formation: Formation of private equity funds, capital market funds, leveraged co-investment funds, employee securities companies and joint ventures. Creation of internal carry, compensation and governance agreements among fund sponsors. Representative transactions include Apollo's publicly traded multi-strategy fund and other private equity, debt and capital market funds for Apollo, as well as funds for JPMorgan Partners (including its $8B global fund), CCMP Capital ($3.5B), Pinebrook, and Insight.

Regulatory: Advise alternative asset managers on regulatory matters and compliance programs, including the Advisers Act, Gramm-Leach-Bliley Act, Bank Holding Company Act and Small Business Investment Act.

Counseling: Provide strategic counseling to the senior partners of alternative asset management firms.
