Published on December 18, 2023, the guidelines retain the core substance of their July draft and reflect the antitrust agencies’ aggressive approach to merger enforcement. Our discussion will help in-house counsel navigate the implications of the guidelines, which could result in significantly more transactions being subject to scrutiny and challenge.
