The Deal: Tripadvisor Cleans Up Corporate Structure

O’Melveny advised Liberty TripAdvisor Holdings, Inc. on its agreement and plan of merger with Tripadvisor, Inc. whereby Tripadvisor will acquire Liberty TripAdvisor. The transaction was announced on December 19 and is expected to close in the second quarter of 2025, subject to certain customary conditions. The O’Melveny team was led by partner and O’Melveny Corporate Department co-chair C. Brophy Christensen, partners Noah Kornblith, Robert Wann, Jr., Jaroslaw Hawrylewicz, Jim Harrigan, and Jeeho Lee, counsel Adam Ackerman, Erin Kim, and Adrian Vidaurri, and associate Spencer Crawford.
