O’Melveny Represents Belite Bio in Registered Direct Offering

SHANGHAI—FEBRUARY 19, 2025—O’Melveny recently represented Belite Bio, Inc (Nasdaq: BLTE) in a registered direct offering of ADSs and warrants to a single institutional investor. The total gross proceeds of the offering amounted to US$15 million before the exercise of any warrant, with potential additional proceeds of US$15 million from the exercise of all warrants issued in the offering. Titan Partners Group, a division of American Capital Partners, acted as the sole placement agent for the offering. The closing took place on February 7, 2025.
Based in San Diego, Belite Bio is a clinical stage biopharmaceutical drug development company focused on advancing novel therapeutics targeting retinal degenerative eye diseases with significant unmet medical needs, such as Stargardt disease and Geographic Atrophy in advanced dry age-related macular degeneration, in addition to specific metabolic diseases.
The O’Melveny team was led by partners Portia Ku and Vincent Lin, with support from legal consultant Yingqi Gu. Partners Robert Plesnarski and James Harrigan handled SEC and FINRA-related matters.
O’Melveny previously represented the company in its IPO, follow-on offering, ATM offering, registered direct offering and pre-IPO financings.
