Cheryl Looper is corporate counsel in O’Melveny’s Houston office. Cheryl has an extensive M&A practice managing a wide range of transactions covering mergers, acquisitions, divestitures, investments and spinoffs (asset and equity), in both domestic and cross-border contexts. Cheryl also has a wealth of experience with private equity sponsors, institutional investors, independent sponsors and strategic acquirors in leveraged buyouts, recapitalizations, and securities transactions, as well as day-to-day corporate governance.
Prior to joining the Firm, Cheryl was a Senior Counsel at a private-equity backed pipeline construction company, where she handled acquisitions, divestitures, strategic initiatives and transactions and compliance matters.
Cheryl also provides pro bono service to the Houston Volunteer Lawyers Program, serving as a volunteer attorney representing clients in guardianship cases through the Medical Legal Partnership with Texas Children’s Hospital.

- Represented an independent sponsor in acquisition of a roofing and siding company.
- Represented a private equity fund in its acquisition of a significant minority stake in a food franchise company.
- Represented a pipeline construction services company in corporate governance, acquisitions and divestitures.
- Represented a family office in the acquisition of a controlling stake in a solar products company.
- Represented a family office-backed portfolio company in the acquisition of a generator sales business.
- Represented a public company in acquisition of entertainment and hospitality business.
- Represented PW Consortium, a private consortium of family offices and financial institutions, on its merger agreement with PureWest Energy, LLC, a leading Rocky Mountain independent natural gas producer, for US$1.84 billion in cash.
- Represented a private-equity fund in its acquisition of a business services company in the banking and finance space.
- Represented a private company in its acquisition of transportation and logistics business.
