Jeff Walbridge, Chair of O’Melveny’s Executive Compensation & Benefits Practice and member of the firm’s Executive Committee, counsels clients across the country on executive compensation and benefits issues. In particular, Jeff regularly advises clients with respect to the design and implementation of equity-based and non-equity based annual and long-term incentive arrangements, non-qualified deferred compensation and retirement plans, employment, severance, and change-in-control arrangements, the securities laws and related disclosure requirements applicable to these arrangements, and the taxation of these arrangements.
Jeff regularly advises clients on compensation and benefits issues in the context of mergers and acquisitions, public offerings, private equity investments, restructurings and other corporate transactions. Jeff also advises boards of directors in addressing shareholder activism and shareholder advisory firm opinions on executive compensation topics, executive succession and transition issues, and related corporate governance matters.
