Luke Ohnmeis represents clients in energy project development, mergers and acquisitions, and other corporate transactions, with a focus on upstream and midstream oil and gas transactions.

Luke has experience advising public and private companies in the energy industry, including private equity sponsors and their portfolio companies, on various contracts and agreements, including complex midstream agreements, joint development agreements, farmout agreements, and procurement and construction contracts.

Luke also advises issuers of asset-backed securities collateralized by oil and gas assets.

  • Private oil and gas company in issuance of US$150 million of notes in 4(a)(2) offering through asset backed securitization transaction.
  • Consortium of family offices in a novel US$200 million asset-backed re-securitization of certain natural gas assets as partial acquisition financing.
  • Matador Resources Company in its $75 million acquisition of oil and natural gas processor Summit Midstream Permian, LLC.
  • Mineral and royalty fund in the acquisition and divestiture of approximately $230m of oil and gas royalty, non-operated leasehold, and fee mineral assets in the Bakken Shale, Haynesville Shale, Eagle Ford Shale, and the Permian Basin (including Midland Basin, Delaware Basin and non-core).
  • Family-office backed independent natural gas producer in the acquisition of over 1,000 PDP wells and associated midstream assets across Appalachia and Texas.
  • INEOS on its acquisition of LyondellBasell’s Ethylene Oxide and Derivatives Business and Production Facility at Bayport Texas for US$700 million.
  • INEOS on its acquisition of Eastman Chemical Company’s Texas City Site for approximately US$500 million.
  • Midstream subsidiary of publicly traded E&P in the negotiation of a turn-key engineering, procurement and construction agreement to expand a cryogenic gas processing facility in the Permian Basin.
  • Various oil and gas producers and midstream providers in the negotiation of gas gathering, compression, processing, treating, conditioning, processing and purchasing arrangements, from short-term interruptible agreements to long-term acreage dedications with extensive buildout and construction obligations.
