O’Melveny Worldwide

A counsel in O’Melveny’s Corporate Finance and Aviation Groups, Patrick focuses primarily on cross-border aviation and corporate financing, structured financing and securitisation, syndicated and bilateral lending, capital markets, general corporate banking and governance, and aircraft leasing and trading opportunities, including representation of aircraft and engine leasing companies, trustees, banks, institutional investors and private equity funds.

Patrick trained at the Dublin headquarters of a leading international law firm and qualified into the Aviation and Transport Finance Group. Before joining O’Melveny, he was Associate Vice President (Legal) at an aircraft lessor based in Dublin.

Patrick has been recognized as a “Rising Star” by The Legal 500 UK in the Aviation Finance and Leasing category, which has noted that he is an “outstanding” lawyer who “is particularly in tune with the specific requirements of leasing companies.” Patrick was also recognized as a “Rising Star” by Airfinance Global, with sources commenting that he has “a rare versatility that separates him from his peers” and an “exceptionally talented aviation finance and leasing attorney.”

Aircraft Leasing

  • Jackson Square Aviation, as owner participant, in connection with a finance lease between Bank of Utah as lessor and Hawaiian Airlines, as lessee for a Boeing 787-9 Dreamliner.
  • CaixaBank, as buyer, lender and lessor, in connection with the acquisition, financing and conversion of five A330s and the subsequent leasing (by way of finance leases) of the converted aircraft to an international cargo operator.
  • Irish aircraft lessor on several Japanese operating leases with lessees in various jurisdictions.
  • Irish aircraft lessor in connection with the administration of Virgin Australia and the restructuring of three B737 lease agreements by way of amendment and restatement and the return of two A330 aircraft.
  • Irish aircraft lessor on the lease of one A320 to an Indonesian lessee.
  • Irish aircraft lessor on the lease of one A320 to an Austrian lessee and subsequent novation to a Maltese lessee.

Aircraft Trading

  • Jackson Square Aviation, as seller, in connection with a four A320 portfolio sale (on lease to multiple lessees) to a US lessor.
  • ORIX Aviation, as seller, in connection with the sale of multiple aircraft portfolios (on lease to multiple lessees and also off-lease aircraft).
  • Irish lessor on the acquisition of an eight B737 aircraft portfolio from an Irish-based leasing company.
  • Irish aircraft lessor on an end of lease transition and naked sale of a two B737 aircraft portfolio to a leasing company based in the US.

Aircraft Financing 

  • UMB Bank, in multiple roles, in connection with dozens of aircraft backed securitizations.
  • JPMorgan Chase, as lender, in connection with a US$600 million revolving credit agreement with a US aircraft lessor involving more than thirty aircraft.
  • Citibank, as administrative agent and collateral agent, in connection with a USD1.8 billion term loan credit agreement with a new leasing vehicle and the acquisition of a portfolio of seventy aircraft.
  • National Westminster Bank, as lender, in connection with several facilities for major US and International Airlines.
  • Bank of China Limited London as lender in connection with a debt facility with an international cargo operator for its acquisition financing of two used B777 aircraft from US lessor and subsequent cargo conversion of the aircraft.
  • Jackson Square Aviation, as PDP lender, in connection with a US$200 million pdp facility with a Chilean airline.
  • UMB Bank, as facility agent and security agent, in connection with a loan facility agreement with a US aircraft lessor for the financing of five Boeing MAX-9 Aircraft.
  • Goshawk Aviation, as borrower, in connection with an extension and upsize of its US$1.8 billion unsecured revolving credit facility with a syndicate of banks.
  • US joint venture in connection with, (i) a US$750 million warehouse loan agreement, and (ii) an aircraft-backed securitisation and the issue of US$800 million asset backed securities to acquire a portfolio of nineteen aircraft.   • US aircraft lessor in connection with the issue of US$1.28 billion unsecured senior and junior notes and the listing of the notes on the official list of the Bermuda Stock Exchange.
