We represent some of the largest corporations, banks, and investment funds as borrowers and lenders in financing and debt investment transactions in the US, Asia, and Europe. Our interdisciplinary group capitalizes on the varied skills of our lawyers, across multiple groups, combining copious legal experience with extensive finance and industry knowledge to serve clients in aviation, energy, infrastructure, and entertainment and media, among other sectors.
We help our clients with a wide range of corporate finance transactions, including asset-based financings, bridge loans, credit facilities, mezzanine debt financings, subordination and intercreditor arrangements, and workouts and refinancings. With strong connections with banks, lenders, and underwriters, and robust dealflow around the world, we add value for clients by introducing them to potential lenders and borrowers, maximizing their negotiating leverage, and keeping them informed about the latest market trends.
Represented the client in its two simultaneous tender offers to purchase for cash 54 series of outstanding Notes and 9 series of outstanding Notes in accordance with an SEC No-Action Letter permitting debt tender offers to be completed in as little as five business days.
Represented the client, as issuer, in an US$800 million aircraft lease ABS securitization, the proceeds of which will be used by Blackbird to acquire a portfolio of 19 aircraft.
Represented the client in connection with a US$1.4 billion senior secured credit facility, comprised of a US$850 million term loan facility and a US$550 million revolving credit facility.
Represented client as issuer of US$300 million of 7.500% Senior Notes due 2032. GISI intends to use the net proceeds from the offering for general corporate purposes, which may include acquisitions.
Represented bank in connection with the amendment and restatement of its credit facilities with Aids Healthcare Foundation, a California non-profit public benefit corporation.
